These Terms of Service are provided by Up Time Consulting LLC, a Utah limited liability company operating as Purfect AI ("Purfect AI", "we", "us"). When these Terms refer to "Purfect AI" they mean Up Time Consulting LLC. By using this site or contacting us through it, you are dealing with Up Time Consulting LLC.

By accessing or using purfect.ai — including submitting an intake form, using the chat assistant, or booking a call — you agree to these Terms. If you do not agree, do not use this site.

These Terms govern your use of the site and any pre-engagement interactions with us. If you become a client, a separate Master Service Agreement and Statement of Work will govern that engagement and take precedence over these Terms with respect to the services delivered.

Purfect AI designs and deploys production AI infrastructure for technical teams. Our services include AI security gateways, managed agents, infrastructure deployment, platform integrations, and training. All engagements are fixed-price, scoped upfront, and delivered with full source code transferred to the client.

Information on this site about services, pricing, and timelines is provided for general reference. Specific terms for any engagement are governed exclusively by a signed Statement of Work.

Not legal or compliance advice

Nothing on this site, and nothing communicated by Purfect AI before a signed engagement, constitutes legal advice, compliance advice, or a regulatory opinion. Purfect AI is a technical implementation vendor. We build systems that enforce rules accurately as written. We do not advise on whether those rules satisfy any legal or regulatory requirement.

Compliance is your responsibility

If you engage us for services involving HIPAA, SOC 2, GDPR, or any other regulatory framework, your legal counsel and compliance officers are solely responsible for determining what your compliance obligations are and whether any technical implementation satisfies them. Purfect AI does not certify compliance. Third-party auditors do.

Not financial or business advice

Nothing on this site constitutes financial, investment, or business advice. All pricing and service information is provided for informational purposes only.

What it is

The chat assistant on this site is an AI-powered sales tool designed to answer questions about Purfect AI's services and help connect you with our team. It is not a human and may not always respond accurately.

No binding commitments

Responses from the chat assistant do not constitute an offer, a binding commitment, or a representation by Purfect AI. No statement made by the chat assistant creates any obligation on the part of Up Time Consulting LLC unless confirmed in a signed agreement.

Conversation logging

Conversations with the chat assistant may be logged and reviewed by our team for quality, security, and sales follow-up purposes. Do not share sensitive personal, financial, or medical information in the chat.

You agree not to use this site or the chat assistant to: attempt to extract, reverse-engineer, or manipulate the underlying AI system; submit false, misleading, or malicious content; engage in any activity that violates applicable law; or interfere with the operation of the site or its security systems.

We reserve the right to block access to any user or system that violates these Terms or attempts to abuse the site's systems.

All content on this site — text, design, graphics, code, and branding — is owned by Up Time Consulting LLC or its licensors. Nothing on this site grants you any license to use our intellectual property without prior written permission.

Source code delivered to clients under a signed engagement is governed by the intellectual property terms of the applicable Master Service Agreement, under which ownership transfers to the client upon full payment.

This site and all content on it are provided "as is" without warranty of any kind. Purfect AI makes no representations about the accuracy, completeness, or fitness for purpose of any information on this site.

To the maximum extent permitted by applicable law, Up Time Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this site or reliance on its content, even if advised of the possibility of such damages.

Payment processing

Payments are processed by Stripe, Inc. When you make a payment, your card and financial information is transmitted directly to Stripe and is never stored on our servers. Your use of Stripe's payment services is governed by Stripe's Terms of Service and Privacy Policy at stripe.com.

Engagement fees

All engagements are fixed-price as agreed in a signed Statement of Work. The default payment schedule is 50% due on execution of the SOW and 50% due on delivery, unless otherwise specified in writing.

Cancellation and refunds

If you cancel an engagement after execution of a Statement of Work, you are responsible for payment of all work completed through the cancellation date plus reasonable wind-down costs, not to exceed the full SOW fee. Deposits are non-refundable once work has commenced. If Purfect AI is unable to deliver the agreed Deliverables due to our own failure, we will refund the portion of fees attributable to undelivered work.

This site uses third-party services to operate. Your interactions with those services are governed by their own terms and privacy policies.

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of this site shall be resolved in the state or federal courts located in Utah County, Utah.

We may update these Terms at any time. Changes take effect when posted to this page. Continued use of the site after changes are posted constitutes acceptance of the updated Terms. The date at the top of this page reflects the most recent revision.
